Welcome to MNGM Company (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of our website, services, and related products. By accessing or using any part of our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Services Provided
MNGM Companyprovides digital marketing services, which may include but are not limited to: social media marketing, paid advertising campaigns, branding, content creation, consulting, and related digital solutions. Services are customized per client and outlined in the service agreement or proposal.
2. Eligibility
By using our services, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to enter into a binding agreement.
3. Payments & Billing
All services are billed according to the pricing agreed upon in your proposal or contract.
Payment terms (monthly, one-time, or recurring) will be specified before services begin.
Invoices are due upon receipt unless otherwise stated.
Late payments may incur fees or suspension of services.
All payments are non-refundable unless explicitly agreed otherwise.
4. Client Responsibilities
To enable MNGM Marketing to deliver services effectively, clients agree to:
Provide accurate, complete, and timely information when requested.
Supply necessary access to accounts (e.g., social media, websites, ad platforms).
Review and approve content, campaigns, and strategies in a timely manner.
Remain responsible for the legality of all content, products, or services being marketed.
5. Intellectual Property
All original materials created by MNGM Marketing (designs, copy, strategies, reports) remain the intellectual property of MNGM Marketing until full payment is received.
Once paid in full, ownership of final deliverables (e.g., ad creatives, designs) transfers to the client, unless otherwise agreed.
MNGM Marketing retains the right to display non-confidential work in portfolios, case studies, and marketing materials.
6. Confidentiality
Both parties agree to keep confidential information private, including business strategies, proprietary data, financial information, and any sensitive materials shared during the engagement.
7. Results & Guarantees
MNGM Marketing makes no guarantees regarding specific outcomes such as revenue growth, lead volume, or conversion rates. While strategies are designed to maximize results, outcomes may vary based on market conditions, ad spend, competition, and client participation.
8. Limitation of Liability
MNGM Marketing is not liable for any direct, indirect, incidental, or consequential damages arising from the use of our services.
Our total liability shall not exceed the total amount paid by the client for services during the three (3) months prior to the claim.
We are not responsible for third-party platforms (Facebook, Instagram, TikTok, Google, etc.) suspending or restricting accounts.
9. Term & Termination
Either party may terminate the agreement with written notice (typically 30 days unless otherwise stated in the service contract).
Outstanding balances remain payable in full upon termination.
MNGM Marketing reserves the right to terminate services immediately if a client engages in unlawful activity, violates these Terms, or fails to pay invoices.
10. Refund Policy
Due to the nature of digital marketing services, all sales are final.
Refunds may only be issued at the sole discretion of MNGM Marketing under special circumstances.
11. Privacy Policy
Your use of our services is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal data.
12. Third-Party Services
MNGM Marketing may use third-party platforms, tools, and services (e.g., Facebook Ads Manager, Google Ads, Canva, analytics tools). We are not responsible for issues, outages, or limitations caused by third-party providers.
13. Non-Solicitation
During the term of engagement and for twelve (12) months after termination, clients agree not to solicit or hire any employee, contractor, or representative of MNGM Marketing without prior written consent.
14. Indemnification
Clients agree to indemnify and hold harmless MNGM Marketing, its employees, and contractors from any claims, damages, liabilities, or expenses arising out of:
The client’s misuse of services.
Violations of applicable laws.
Infringement of third-party rights.
15. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Washington County, Utah.
16. Changes to Terms
MNGM Marketing reserves the right to update these Terms at any time. Changes will be posted on our website with the updated “Last updated” date. Continued use of our services constitutes acceptance of the new Terms.
